Terms of Service

1. Acceptance of Terms
By accessing or using Sherpa ("the Service"), operated as a sole proprietorship by Jack Polivka ("Sherpa," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Sherpa.
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
2. Description of Service
Sherpa provides a platform for creating interactive product walkthroughs and onboarding experiences. The Service includes:
- A web-based dashboard for managing walkthroughs, teams, and analytics
- A browser extension for recording product walkthroughs
- An embeddable JavaScript snippet for deploying walkthroughs on your website or application
- AI-powered caption and step generation tools
- Analytics and reporting features
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
4. User Accounts
To use the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe are being used in violation of these Terms.
5. Teams and Organizations
Sherpa supports team-based accounts. The individual who creates a team ("Team Owner") is responsible for managing team membership, permissions, and billing. Team Owners may invite other users and assign roles (e.g., Admin, Member). All team members are bound by these Terms.
Content created within a team account is owned by the team and governed by the Team Owner's subscription. When a team member is removed, their access to team content is revoked, but previously created content remains with the team.
6. Subscription, Billing, and Free Trial
Sherpa offers subscription plans, including a free trial period. The following terms apply to billing:
- Free Plan: A permanent Free plan is available with no payment information required. The Free plan includes 3 product maps, 20 steps per map, and 1 tour.
- Free Trial of Premium Features: A free trial of premium features may be offered at the time of subscription. Trial duration and eligibility are shown at checkout. Trials convert to a paid plan automatically at the end of the trial period unless cancelled before then.
- Monthly Plans: Billed on a recurring monthly basis on the anniversary of your subscription start date.
- Annual Plans: Billed once per year at a discounted rate.
- Automatic Renewal: All paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
- Price Changes: We may change subscription prices with at least 30 days' notice. Price changes will take effect at your next renewal.
- Cancellation: You may cancel your subscription at any time through your account settings. Cancellation stops future renewals; you retain full access to the Service through the end of the period you have already paid for (e.g., if you cancel a Monthly plan mid-month, access continues through the end of that month).
- Refunds: Monthly plans are non-refundable. Annual plans are refundable on a pro-rated basis if requested within 30 days of the subscription start date. Refund requests should be directed to support@usesherpa.app.
All payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees to your designated payment method. You are responsible for any taxes associated with your subscription.
7. Your Content
"Your Content" means all data, text, images, audio recordings, screenshots, walkthroughs, and other materials that you upload, create, or transmit through the Service.
- Ownership: You retain all ownership rights to Your Content. Sherpa does not claim ownership of any content you create using the Service.
- License to Sherpa: By using the Service, you grant Sherpa a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or your account.
- Responsibility: You are solely responsible for Your Content and for ensuring it does not violate any applicable laws or third-party rights. You represent that you have all necessary rights and permissions to upload and share Your Content through the Service.
- Recording Content: When you create walkthroughs, you may capture screenshots and audio from your product or application. You are responsible for ensuring you have the right to record and share this content, and that it does not contain sensitive information that should not be captured.
8. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service for any illegal, harmful, or fraudulent purpose
- Violate any applicable laws, regulations, or third-party rights
- Upload or transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to the Service, other user accounts, or our systems
- Interfere with or disrupt the Service or its infrastructure
- Scrape, crawl, or use automated tools to access the Service without our written consent
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or redistribute the Service without our prior written authorization
- Use the Service to create walkthroughs that contain or promote illegal content, hate speech, harassment, or content that exploits minors
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Use the Service in a way that could damage, disable, overburden, or impair our servers or networks
We reserve the right to investigate and take appropriate action against any violations, including removing content, suspending or terminating accounts, and reporting to law enforcement.
9. Intellectual Property
The Service, including all software, designs, text, graphics, logos, trademarks, and other materials ("Sherpa IP"), is owned by Sherpa (Jack Polivka) and protected by copyright, trademark, and other intellectual property laws. You may not use, copy, modify, or distribute any Sherpa IP without our prior written consent.
The Sherpa name, logo, and all related names, logos, product and service names, designs, and slogans are marks of Sherpa. You may not use these marks without our prior written permission.
10. Embeddable Script and Third-Party Websites
The Service allows you to embed a JavaScript snippet on your website or application to deploy walkthroughs to your end users. By using the embeddable script:
- You are responsible for ensuring the script is implemented correctly on your website
- You acknowledge that the script transmits limited error data to Sherpa when a walkthrough fails to render, as described in our Privacy Policy. The script does not set cookies on your domain or assign persistent identifiers to your end users.
- You are responsible for informing your end users about data collection on your site as required by applicable laws
- You agree not to modify the script in any way that could compromise its security or functionality
11. AI-Generated Content
The Service uses artificial intelligence to generate captions, instructions, and other text content for your walkthroughs. You acknowledge that:
- AI-generated content is provided as a starting point and may require review and editing
- We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content
- You are responsible for reviewing and approving all AI-generated content before publishing
- AI-generated content is treated as Your Content once generated within your account
12. Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, store, and share your information. By using the Service, you consent to the practices described in the Privacy Policy.
13. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service ("Confidential Information"). Confidential Information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.
We will treat Your Content as confidential and will not share it except as necessary to provide the Service, as described in our Privacy Policy, or as required by law.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SHERPA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
SHERPA DOES NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF THE SERVICE. THE ACCURACY AND RELIABILITY OF AI-GENERATED CONTENT, ANALYTICS DATA, AND OTHER OUTPUTS ARE NOT WARRANTED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHERPA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF SHERPA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SHERPA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SHERPA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
16. Indemnification
You agree to indemnify, defend, and hold harmless Sherpa, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of the Service
- Your Content
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights
17. Termination
We may terminate or suspend your access to the Service immediately, without prior notice, if:
- You breach any provision of these Terms
- Your account has been inactive for an extended period
- We are required to do so by law
- We decide to discontinue the Service or any part thereof
You may terminate your account at any time by contacting us at support@usesherpa.app or through your account settings. Upon termination:
- Your right to use the Service will immediately cease
- We will retain Your Content for 30 days following termination, during which time you may request an export of your data
- After the 30-day retention period, Your Content will be permanently deleted
- Any provisions of these Terms that by their nature should survive termination will remain in effect (including Sections 7, 9, 14, 15, 16, 19, and 20)
18. Service Availability and Support
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
Support is available via email at support@usesherpa.app. We aim to respond to support inquiries within two business days, though response times are not guaranteed.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United States and of the state in which Sherpa's owner resides, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through the appropriate courts of competent jurisdiction in the United States.
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
20. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sherpa regarding the Service and supersede all prior agreements and understandings.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: The failure of Sherpa to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
- Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
- Force Majeure: Sherpa shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet or infrastructure failures.
- Notices: We may send notices to the email address associated with your account. You are responsible for keeping your contact information current. Notices to us should be sent to support@usesherpa.app.
